These Terms of Service govern your access to and use of our website at www.divinabeauty.buzz and all computer systems design, computer integrated systems design, and related professional, scientific, and technical services provided by us. By accessing or using our website or services, you agree to be bound by these terms. If you do not agree with any part of these terms, you must not use our website or services. These terms constitute a legally binding agreement between you and Ser Divina Beauty LLC.

1. Definitions

Throughout these Terms of Service, the following definitions apply: Divina Beauty Buzz refers to the service brand of Ser Divina Beauty LLC, a limited liability company registered in the State of Utah, United States. The Website refers to www.divinabeauty.buzz and all associated subdomains and pages. Services refers to all computer systems design, computer integrated systems design, digital transformation consulting, technology architecture planning, software systems integration, network design, cybersecurity assessments, cloud computing solutions, and related professional, scientific, and technical services offered by Divina Beauty Buzz. Client or You refers to the individual, company, or legal entity accessing or using our website or services. Content means all text, graphics, images, videos, software, data, and other materials displayed, distributed, or made available through our website or services.

2. Acceptance of Terms

By accessing our website, submitting a service inquiry, engaging our services, or otherwise using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and any additional terms incorporated by reference. If you are using our services on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to these terms. We reserve the right to modify these terms at any time. Changes become effective immediately upon posting. Your continued use of our website or services after any modifications indicates your acceptance of the modified terms. We encourage you to review these terms periodically.

3. Description of Services

Divina Beauty Buzz provides comprehensive computer systems design and related services within the Professional, Scientific, and Technical Services sector. Our service offerings include but are not limited to: computer integrated systems design and architecture; enterprise software development and integration; cloud infrastructure planning, migration, and management; network architecture design and optimization; cybersecurity risk assessments and compliance consulting; data analytics and business intelligence solutions; digital transformation strategy and implementation; IT project management and technical advisory; system performance optimization and scalability planning; and ongoing technical support and managed services.

The specific scope, deliverables, timelines, milestones, fees, and acceptance criteria for each engagement will be documented in a separate Statement of Work or Service Agreement signed by both parties. These Terms of Service govern all service engagements unless expressly superseded by a written agreement. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement prevails.

4. Client Obligations

As a client of Divina Beauty Buzz, you agree to provide accurate, current, and complete information during the onboarding and service delivery process; cooperate reasonably and in a timely manner by providing necessary access to systems, data, personnel, facilities, and third-party services; designate a primary point of contact authorized to make decisions and approve deliverables; comply with all applicable laws and regulations in your use of our services; maintain the confidentiality of any access credentials, API keys, or security information provided to you; notify us promptly of any security incidents or unauthorized access; and refrain from using our services for any unlawful, fraudulent, or harmful purposes.

5. Intellectual Property

All intellectual property rights in the methodologies, frameworks, software tools, libraries, documentation, templates, and proprietary materials owned by Ser Divina Beauty LLC prior to the engagement shall remain our sole property. All intellectual property rights in works specifically created for you under a paid engagement, including custom software code, technical documentation, system designs, architecture diagrams, and configuration files, shall be owned by you upon full payment of all applicable fees, subject to any third-party license restrictions.

We retain a non-exclusive, royalty-free, perpetual license to use any general methodologies, techniques, know-how, and skills acquired or developed during the course of providing services to you, provided that such use does not disclose your confidential information. You retain all rights to your pre-existing intellectual property. You grant us a limited license to use your intellectual property solely for the purpose of providing services to you.

6. Fees and Payment Terms

Fees for services are set forth in the applicable Service Agreement or Statement of Work. Unless otherwise specified, all fees are payable in United States dollars. Invoices are due within thirty days of the invoice date. Late payments may incur interest at the rate of one and one-half percent per month or the maximum rate permitted by law. We may suspend services, withhold deliverables, or terminate the engagement if payment is not received within sixty days of the invoice date. All fees are exclusive of taxes. You are responsible for paying all applicable sales, use, value-added, withholding, and similar taxes.

7. Confidentiality

Both parties agree to protect the confidentiality of proprietary information disclosed during the engagement. Confidential information includes business plans, technical data, source code, trade secrets, financial information, client lists, system architectures, security assessments, and any other information designated as confidential or that a reasonable person would understand to be confidential. Each party agrees to use the same degree of care to protect the other partys confidential information as it uses for its own similar information, but not less than reasonable care.

Confidential information may only be used for the purpose of the engagement and disclosed only to employees and contractors who need to know and are bound by confidentiality obligations. This obligation survives termination of the engagement for a period of three years, or indefinitely for trade secrets. Exclusions apply for information that is publicly known, independently developed, or required to be disclosed by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ser Divina Beauty LLC and Divina Beauty Buzz shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business interruption, or cost of substitute services, arising out of or related to these terms or the services, regardless of the theory of liability. Our total aggregate liability to you for any claims arising under these terms shall not exceed the total amount paid by you to us in the twelve months preceding the claim. This limitation applies even if we have been advised of the possibility of such damages.

9. Disclaimer of Warranties

Our services are provided on an as is and as available basis. We warrant that services will be performed in a professional manner consistent with industry standards. We make no other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that our website or services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We are not responsible for delays, failures, or damages resulting from circumstances beyond our reasonable control including acts of God, natural disasters, war, terrorism, labor disputes, government actions, and internet service failures.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ser Divina Beauty LLC, its officers, directors, employees, agents, affiliates, and subcontractors from and against any claims, damages, losses, liabilities, costs, and expenses including reasonable legal fees arising out of or related to your breach of these terms, your misuse of our services, your violation of any law or third-party rights, or any content or data you provide to us. We reserve the right to assume exclusive defense and control of any matter subject to indemnification at your expense.

11. Termination

Either party may terminate a specific Service Agreement in accordance with the termination provisions stated therein. If no specific provisions exist, either party may terminate by providing thirty days written notice. We may immediately terminate or suspend your access to our website and services if you materially breach these terms and fail to cure within ten days of notice, if you violate applicable laws, or if you engage in fraudulent or harmful conduct. Upon termination, you must pay all fees and expenses incurred through the effective date. Confidentiality, limitation of liability, and other provisions that by nature survive termination shall remain in effect.

12. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah for the resolution of any disputes. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

13. Dispute Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation does not resolve the dispute within thirty days, the parties agree to submit to mediation administered by a mutually agreed mediator in Salt Lake County, Utah. If mediation does not resolve the dispute, either party may initiate litigation. The prevailing party shall be entitled to recover its reasonable legal fees and costs from the non-prevailing party, subject to applicable law.

14. Force Majeure

Neither party shall be liable for failure or delay in performing obligations under these terms due to circumstances beyond reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, strikes, labor disputes, fire, flood, earthquake, epidemic, pandemic, government actions, embargoes, supply chain disruptions, or failure of third-party services including cloud providers and telecommunications carriers. The affected party shall notify the other promptly and take reasonable steps to mitigate impact. If the force majeure event continues for more than sixty days, either party may terminate the affected engagement without liability.

15. General Provisions

These terms constitute the entire agreement between the parties regarding the subject matter, superseding all prior agreements and communications. If any provision is found to be unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver. You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets. Notices must be in writing and sent to the addresses provided in the applicable Service Agreement.
